1. Agreement to Terms

By accessing or using any services provided by Emilia AI Inc ("Company", "we", "us") under the Emilia Vision brand, including but not limited to our AI assistant, messaging channels, restaurant monitoring platform, websites, and APIs (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use the Services.

2. Description of Services

Emilia Vision provides:

• AI-powered restaurant monitoring: Real-time computer vision analysis of security camera feeds for operational intelligence, including service quality, plate standards, and loss prevention
• Messaging services: Conversational AI assistant accessible via WhatsApp, Facebook Messenger, and Instagram Direct Messages for customer support, lead management, and operational notifications
• Analytics and reporting: Dashboards, alerts, and data insights for restaurant operators

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts and Access

• Certain Services require authentication or an active subscription
• You are responsible for maintaining the confidentiality of your account credentials
• You agree to notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

5. Messaging Channels

When you interact with Emilia via WhatsApp, Facebook Messenger, or Instagram:

• Messages are processed by our AI assistant and/or human agents
• You consent to receiving responses via the same messaging channel
• Message data is handled in accordance with our Privacy Policy
• You agree not to send illegal, abusive, or harmful content through our messaging channels
• Standard messaging rates from your carrier or platform may apply

6. Restaurant Platform Services

For restaurant clients using our monitoring platform:

• Services are provided under a separate subscription agreement
• You are responsible for obtaining necessary consents for camera monitoring in your establishments, in compliance with applicable labor and privacy laws
• Camera feeds are processed in real-time; storage and retention are governed by your subscription terms
• POS integration data is used solely for session matching and operational analytics

7. Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or extract source code from our software
• Interfere with or disrupt the Services or servers
• Transmit viruses, malware, or other harmful code
• Impersonate another person or entity
• Use the Services to collect personal data without proper consent
• Resell or redistribute the Services without written authorization

8. Intellectual Property

All content, software, algorithms, models, trademarks, and other intellectual property associated with Emilia Vision are owned by Emilia AI Inc or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services as intended.

You retain ownership of any data you provide to us. By using the Services, you grant us a license to process your data as described in our Privacy Policy and as necessary to provide the Services.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• AI-generated insights or recommendations will be accurate or complete
• The Services will meet your specific requirements

10. Limitation of Liability

To the maximum extent permitted by applicable law, Emilia AI Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Services.

Our total liability for any claim arising from the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Emilia AI Inc, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately.

14. Governing Law

These Terms are governed by the laws of the Republic of Colombia. Any disputes arising from these Terms shall be resolved in the courts of Bogotá, Colombia, unless otherwise agreed in writing.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
